WRITE WORTH – TERMS OF SERVICE
Welcome to Write Worth ("Write Worth," "we," "our," or "us"), a digital marketplace that connects writers, producers, buyers, studios, investors, and other creative professionals.
Write Worth allows users to showcase, discover, negotiate, license, purchase, and collaborate on screenplays and writing opportunities, and to buy, sell, and hire film and production equipment and crew, through a secure and transparent platform.
These Terms of Service ("Terms") are organised in three parts: Part A — General Terms (which apply to everyone and to all use of the platform); Part B — Equipment Marketplace Terms; and Part C — Hire Crew Terms. Parts B and C are in addition to, and incorporate, Part A. Where Part B or Part C conflicts with Part A specifically in relation to that feature, the more specific Part prevails for that feature.
By creating an account or using our platform, you agree to these Terms. If you do not agree, you must discontinue use of the platform immediately.
PART A — GENERAL TERMS
These General Terms apply to all users and to all features of Write Worth, including the Equipment Marketplace (Part B) and Hire Crew (Part C).
1. Definitions
Platform refers to the Write Worth website, applications, services, and related technologies.
Writer refers to any user who uploads, lists, or submits original creative works or bids for writing opportunities.
Buyer refers to any producer, production company, investor, studio, distributor, or individual seeking to purchase or license creative works, or (in Parts B and C) to buy or hire equipment or engage crew.
Screenplay includes scripts, teleplays, stage plays, treatments, concepts, and related creative works.
Job Listing means a writing opportunity published by a producer or buyer.
Bid means an offer submitted through the Write Worth bidding system.
Equipment means film and production equipment listed for sale or hire under Part B.
Crew means an individual offering production services for engagement under Part C.
Escrow means the payment-holding facility described in Parts B and C, under which a payment is held and released on the conditions stated in those Parts.
Content includes all text, files, images, videos, contracts, messages, screenplays, listings, and other materials submitted to the platform.
2. Eligibility
You must be at least 18 years old, or the legal age of majority in your jurisdiction, to use Write Worth.
By creating an account, you represent that:
• The information you provide is accurate.
• You have legal authority to enter into binding agreements.
• You will comply with these Terms and all applicable laws.
3. User Accounts
You are responsible for:
• Maintaining the security of your account.
• Keeping your password confidential.
• Ensuring all information remains accurate.
• All activities occurring under your account.
Write Worth may suspend or terminate accounts involved in fraud, abuse, impersonation, or violations of these Terms.
4. Intellectual Property
Creators retain ownership of their original work. Uploading a screenplay does not transfer copyright ownership to Write Worth.
By uploading content, you grant Write Worth a limited, non-exclusive, worldwide, royalty-free license to:
• Host your content.
• Display listing information.
• Generate previews.
• Promote your listing within the platform.
• Operate and improve platform services.
This license exists solely for operating the Write Worth platform and does not give Write Worth ownership of your creative work.
5. Screenplay Listings
Writers are solely responsible for ensuring they own or control all rights necessary to upload their work. By listing a screenplay, you confirm that:
• The work is original or you possess all necessary rights.
• The listing does not violate any contract or confidentiality obligation.
• All information provided is accurate.
Write Worth reserves the right to remove listings that violate applicable laws or these Terms.
6. Job Marketplace
Producers may publish writing opportunities. Writers may submit bids for available jobs. Submitting a bid does not guarantee employment or project selection.
Producers reserve the right to accept any proposal, reject any proposal, negotiate project terms, or close a listing without selecting a writer.
7. Screenplay Marketplace & Bidding
Write Worth operates a marketplace where buyers may place bids on listed screenplays. Our bidding model differs from traditional auctions.
• Buyers compete by submitting increasingly higher bids.
• The highest bid establishes the Current Purchase Price of the screenplay.
• The highest bidder does not automatically obtain exclusive rights to purchase.
• Any eligible buyer may purchase the screenplay by paying the Current Purchase Price while the listing remains active.
• A writer may close, pause, or remove a listing at any time before a completed transaction.
Write Worth reserves the right to modify bidding rules as the platform evolves.
8. Purchases & Licensing (Screenplays)
Rights on Write Worth are defined by the Rights Model the writer selects when listing a screenplay. This model is shown publicly on the listing, so buyers see exactly what they will receive before purchasing, and it forms part of the binding agreement once a sale completes.
When a purchase is approved through escrow, Write Worth automatically issues a Screenplay Purchase & License Agreement to both parties. This document is generated by the platform, records the transaction, and reflects the writer’s chosen Rights Model — including any reversion or expiry conditions attached to it. Depending on the selected model, this may take effect as a copyright assignment, an option, or a license.
Unless the listing’s Rights Model expressly states otherwise:
• Purchasing a screenplay grants only the rights described by the Rights Model shown on that listing.
• Where a model transfers or assigns copyright, that transfer is effected by the auto-issued Agreement reflecting that model, and is subject to any reversion terms it contains.
• Where a model grants a license or option rather than full ownership, the writer retains copyright, and the buyer’s rights are limited to the scope and term set out in the Agreement.
The auto-issued Agreement, together with these Terms and the listing terms in effect at the time of purchase, governs the relationship between the parties. These documents record on-platform transactions and are not a substitute for independent legal advice.
9. Payments (General)
Payments processed through Write Worth may include screenplay purchases, licensing transactions, job payments, equipment sales and hires, crew engagements, platform fees, and additional premium services. Applicable service fees will be disclosed before payment. Except where required by law or expressly stated otherwise, payments are non-refundable.
Platform Commission
Write Worth charges platform commission as follows. The rate and the party who bears it differ by feature, so the applicable rate is the one stated for that transaction type:
• Screenplay sales — 10% of the final sale price of any screenplay sold or licensed through the platform, deducted from the amount payable to the writer.
• Hired writing gigs — 10% of the agreed fee on any freelance or commissioned writing job arranged and paid through the platform, deducted from the amount payable to the writer.
• Equipment Marketplace — 5% per completed sale or hire, deducted from the amount payable to the seller/owner (see Part B, Section B5).
• Hire Crew — a platform fee added on top of the agreed engagement fee and paid by the producer, so the crew member receives 100% of the agreed fee (see Part C, Section C5).
Commissions are calculated on the applicable transaction amount and applied as described for each feature. This commission is in addition to any payment-processing or third-party charges, which will be disclosed before payment where applicable. By transacting on Write Worth, you agree to the fee structure applicable to that transaction.
10. User Conduct
Users agree not to:
• Upload stolen or plagiarized work.
• Submit false bids.
• Manipulate bidding prices.
• Harass other users.
• Circumvent Write Worth to avoid platform fees after initiating negotiations, or arrange payment off-platform to avoid escrow protections.
• Impersonate another person or company.
• Upload malicious software or interfere with platform security.
• Use automated systems to scrape platform data without authorization.
Violations may result in account suspension or permanent removal.
11. Non-Disclosure & Confidentiality
Certain screenplays require NDA acceptance before access. Users who access protected materials agree to maintain confidentiality, use materials solely for evaluation, and not reproduce, distribute, or exploit the work without authorization. Violation may result in account termination and possible legal action.
12. Platform Availability
While we strive for continuous availability, Write Worth does not guarantee uninterrupted access. Maintenance, upgrades, technical issues, or circumstances beyond our control may temporarily affect platform availability.
13. Privacy & Data Protection
Your use of Write Worth is also governed by our Privacy Policy and by the Nigeria Data Protection Act 2023 (NDPA). By using the platform, you consent to the collection and processing of information as described in that policy.
14. Third-Party Services
Write Worth may integrate with third-party providers, including payment processors, cloud storage providers, email services, and identity verification systems. We are not responsible for the availability or practices of third-party services.
15. Suspension & Termination
We may suspend or permanently terminate accounts that violate these Terms, engage in fraudulent activity, abuse other users, submit false information, or attempt to compromise platform security. Termination does not affect obligations that arose before account closure.
16. Disclaimer
Write Worth provides a marketplace only. We do not guarantee that a screenplay will be purchased, that a writer will receive employment, that buyers will obtain financing, the commercial success of any project, or the production, distribution, or publication of any creative work. Users are solely responsible for their own business decisions.
17. Limitation of Liability
To the maximum extent permitted by law, Write Worth shall not be liable for lost profits, lost opportunities, business interruption, indirect or consequential damages, or loss arising from negotiations or agreements between users. Our total liability shall not exceed the amount paid to Write Worth by the affected user
18. Indemnification
You agree to indemnify and hold harmless Write Worth, its officers, employees, affiliates, and partners from claims, losses, damages, liabilities, and expenses arising from your use of the platform, your content, your transactions, your violation of these Terms, or your infringement of third-party rights.
19. Changes to These Terms
We may revise these Terms from time to time. Updated versions become effective upon publication on the Write Worth website. Continued use of the platform constitutes acceptance of the revised Terms. Changes do not retroactively alter transactions already in progress.
20. Governing Law
These Terms are governed by the laws of the Federal Republic of Nigeria. Any dispute arising from these Terms or your use of Write Worth shall be subject to the exclusive jurisdiction of the competent courts in Lagos State, Nigeria.

PART B — EQUIPMENT MARKETPLACE TERMS
These Equipment Marketplace Terms govern your use of the equipment buying, selling, and hiring features (the "Marketplace"). They are in addition to, and incorporate, Part A. Where they conflict with Part A specifically in relation to the Marketplace, these terms prevail. By listing, buying, or hiring equipment, you agree to these terms.
B1. What the Marketplace is — and what Write Worth is not
The Marketplace is a venue that connects users who wish to sell or hire out film and production equipment ("Sellers"/"Owners") with users who wish to buy or hire that equipment ("Buyers"/"Renters").
Write Worth is not a party to any transaction between users. We do not own, sell, hire out, inspect, store, ship, or take possession of any equipment listed. The contract of sale or hire is formed solely between the Buyer/Renter and the Seller/Owner.
Write Worth is not an agent, broker, auctioneer, insurer, valuer, or guarantor for any user. We do not guarantee the existence, quality, safety, legality, authenticity, condition, or accuracy of any listing, nor the ability of a Seller to sell or hire out, nor the ability of a Buyer to pay.
Our role is limited to providing the listing and discovery tools, messaging tools, a payment-holding (escrow) facility as described in Section B4, and dispute-triage tools as described in Section B9. Any dispute about the equipment itself is between the transacting users.
B2. Eligibility, accounts, and verification
You must be at least 18 and legally capable of entering binding contracts under Nigerian law, and hold a Write Worth account in good standing. You are responsible for all activity under your account.
Identity verification (KYC). We may require identity verification before you list, sell, hire out, or in some cases buy or hire. A "verified" badge on a Seller indicates only that the user has completed our verification step; it is not a warranty by Write Worth of that user’s honesty, identity, or the quality of their equipment.
B3. Listings, selling, and hiring out
Accurate listings. When you list equipment you represent and warrant that you own it or are otherwise legally entitled to sell or hire it out; that the listing (title, description, condition, images, price, and daily hire rate) is accurate and not misleading; and that the equipment is not stolen, counterfeit, subject to any lien or third-party right that prevents the transaction, or otherwise illegal to sell or hire in Nigeria.
Prohibited items. You may not list stolen goods; counterfeit or IP-infringing goods; items you do not have the right to sell or hire; weapons or restricted items; any item unlawful under Nigerian law; [and any other category the operator wishes to prohibit].
Pricing and availability. Prices and hire rates are set by the Seller in [Nigerian Naira]. The price shown to a Buyer is the price the Buyer pays. A Seller must only list equipment genuinely available; once an item is under a funded order or hire, it is reserved and unavailable to others for the duration of that transaction.
B4. Payments and escrow
How payment works. When a Buyer/Renter agrees to buy or hire an item, they pay the full amount through our payment provider, Paystack. That amount is held and is not paid out to the Seller/Owner immediately.
Release — Purchases (Buy). For a purchase, the held funds are released to the Seller only when the Buyer confirms in the app that they have received the item. Release is final. If the Buyer does not confirm within [auto-release period, e.g. 7 days after the auto-release deadline], the funds may be released automatically to the Seller.
Release — Hires (Rent). For a hire, the held funds are released to the Owner when the Renter confirms in the app that they have collected the item at handover. Payment for the hire completes at collection. The item remains marked "on hire" and out of circulation until the hire period ends and the return is completed: the Renter marks the item "returned" when they hand it back, and the Owner approves the return, at which point the item becomes available again. No further payment or refund occurs at the return stage.
You instruct the release. By confirming receipt (purchase) or collection (hire), you give an irrevocable instruction to release the held funds to the Seller/Owner. Do not confirm until you actually have the item.
Write Worth does not lend, invest, or earn interest on held funds on your behalf, and held funds are not a deposit with Write Worth.
B5. Fees
Commission. Write Worth charges a commission of 5% on each completed sale or hire. The Buyer/Renter pays the listed price; the Seller/Owner receives the listed price less the 5% commission (i.e. the Seller nets 95%). The commission is deducted at the point funds are released and is earned on a completed transaction. Cancellation and refund treatment of the commission is set out in Section B6.
B6. Cancellations and refunds
Buyer/Renter self-cancellation (before receipt/collection). While an order is funded but before the Buyer confirms receipt (purchase) or collection (hire), the Buyer/Renter may cancel. Within [60 minutes] of funding (the "grace window"), a full refund including the 5% commission is credited to the Buyer/Renter’s Write Worth wallet. After the grace window, a refund of the amount paid less the 5% commission (retained by Write Worth) is credited to the wallet.
No self-cancellation after receipt/collection. Once the Buyer confirms receipt or collection, the transaction is complete for payment purposes and cannot be self-cancelled. Any issue after that point is handled as a dispute (Section B9).
Refund destination. Refunds are credited to the user’s Write Worth wallet and may be withdrawn in accordance with the general withdrawal terms.
Abandoned checkouts. If a Buyer/Renter begins a checkout but does not complete payment, any temporary reservation of the item is released automatically after a short period, and the item returns to availability.
B7. Handover, condition, and returns
In-person handover. The Marketplace is designed for in-person handover. Users arrange where and when to meet. Meet in a safe, public place. Write Worth is not responsible for anything that happens during a meeting between users.
Inspect before you confirm. For both purchases and hires, the Buyer/Renter should inspect the equipment at the point of handover. Confirming receipt or collection in the app releases payment. Your primary protection is this inspection at handover.
Hires are on a trust basis — no deposit, no damage cover. Write Worth does not collect a security deposit and does not insure, guarantee, or cover loss, theft, or damage to hired equipment. The condition of the equipment on collection and return, any wear, damage, or loss, and any compensation for it, are matters between the Owner and the Renter. We recommend Owners and Renters agree their own condition and return terms before handover.
Late or non-return. If a Renter fails to return equipment, that is a matter between the Owner and the Renter and may also be a criminal matter which the Owner may report to the appropriate authorities.
B8. Keeping deals on Write Worth
You agree to use the Marketplace and its messaging honestly and lawfully, and not to post false or fraudulent listings, circumvent the escrow or fee system by arranging payment off-platform, harass or defraud other users, or move a transaction off-platform to avoid protections or fees.
Contact-detail filtering. To help keep deals and payments on-platform (which is how buyer and seller protections operate), our messaging tools may block the sharing of phone numbers, email addresses, links, and social handles. Attempting to bypass this to take a deal off-platform is a breach of these terms.
Reviews. After a completed transaction, users may review each other. Reviews must be honest, based on genuine transactions, and free of unlawful, defamatory, or contact-sharing content. We may remove reviews that breach these terms.
B9. Disputes and Write Worth’s limited role
Because the transaction is between users, you agree to attempt in good faith to resolve any dispute directly with the other user first.
Write Worth’s discretionary role. Where a transaction’s funds are still held, Write Worth may, at its sole discretion and acting as a neutral facilitator, take triage actions including flagging an order for review, releasing held funds, or refunding the Buyer/Renter in whole or in part. We are not obliged to intervene, do not act as a judge or arbitrator, and any action we take is a limited administrative step, not a determination of legal rights.
Once funds are released, Write Worth cannot reverse the payment. Disputes about equipment already collected, damaged, or not returned are between the users and may require them to pursue their own legal remedies.
B10. Disclaimers and limitation of liability
The Marketplace and all listings are provided "as is" and "as available." To the fullest extent permitted by Nigerian law, Write Worth disclaims all warranties regarding equipment, users, and transactions, including as to quality, condition, fitness for purpose, title, and accuracy of listings.
To the fullest extent permitted by law, Write Worth is not liable for the acts or omissions of any user; the condition, safety, legality, or description of any equipment; loss, theft, or damage to equipment (including hired equipment); any transaction that takes place off-platform; or any indirect, incidental, or consequential loss. Nothing here excludes liability that cannot lawfully be excluded under Nigerian law, including under the FCCPA.
PART C — HIRE CREW TERMS
These Hire Crew Terms govern your use of the crew discovery and engagement features (the "Hire Crew" service). They are in addition to, and incorporate, Part A. Where they conflict with Part A specifically in relation to Hire Crew, these terms prevail. By listing a crew profile, engaging crew, or accepting an engagement, you agree to these terms.
C1. What Hire Crew is — and what Write Worth is not
Hire Crew is a venue that connects producers and productions ("Producers") with individuals offering film and production services ("Crew").
Write Worth is not the employer of any Crew member and is not a party to the engagement. The engagement is formed solely between the Producer and the Crew member. Write Worth does not employ, supervise, direct, place, or second any Crew member, does not control how, when, or where services are performed, and is not an employment agency, labour contractor, talent agent, or manager.
Crew act as independent principals. Each Crew member engages with a Producer on their own account as an independent contractor of that Producer (or on whatever basis the Producer and Crew member agree between themselves). Nothing on Write Worth creates an employment, agency, partnership, or joint-venture relationship between Write Worth and any user.
Write Worth does not guarantee the skills, qualifications, conduct, availability, or performance of any Crew member, nor the ability of a Producer to pay or to provide a safe or lawful working environment. Our role is limited to providing discovery and profile tools, messaging tools, an escrow facility (Section C4), and dispute-triage tools (Section C9).
C2. Eligibility, accounts, and verification
You must be at least 18 and legally capable of entering binding contracts under Nigerian law, and hold a Write Worth account in good standing. A Crew member may activate one crew profile.
Verification. A "verified" badge on a Crew profile indicates only that the user has completed our verification step. It is not a warranty by Write Worth of that person’s identity, skills, qualifications, right to work, or conduct on set. Producers remain responsible for their own vetting, including confirming any licences, certifications, or right-to-work status relevant to the role.
C3. Profiles and engagements
Accurate profiles. When you publish a crew profile you represent that your stated role, experience, credits, rate, and availability are accurate and not misleading, and that you are legally entitled to provide the services offered.
Fee and scope. A Producer initiates an engagement by sending a hire offer. The fee prefills from the Crew member’s listed rate but is editable, and the parties may negotiate the fee, dates, and scope before acceptance. The agreed engagement fee, dates, and description form the commercial terms of that engagement.
Nature of the engagement. The scope, deliverables, hours, working conditions, direction, and any additional terms of the work itself are agreed between the Producer and the Crew member. Write Worth is not a party to and does not set those terms.
C4. Payments and escrow
How payment works. When a Producer engages a Crew member, the Producer pays the agreed engagement fee plus the platform fee (Section C5) through our payment provider, Paystack. That amount is held in escrow and is not paid out to the Crew member immediately.
Milestones and release. The engagement records two check-in milestones — arrival (confirmed by the Producer) and on-set (confirmed by the Crew member). The held engagement fee is released to the Crew member when the Producer releases it after the work, or automatically after the release deadline ([engagement end date plus a grace period of [3] days]).
Non-attendance / no-show. If the release deadline passes and neither milestone was confirmed, the held funds are refunded to the Producer rather than released, on the basis that the Crew member did not attend. Where the Crew member has confirmed an on-set milestone, the engagement is not treated as a no-show. Where the milestones are mixed or unclear, the matter is held for review rather than auto-decided (Section C9).
You instruct the release. By releasing funds, the Producer gives an irrevocable instruction to pay the Crew member. Release is final.
Write Worth does not lend, invest, or earn interest on held funds on your behalf, and held funds are not a deposit with Write Worth.
C5. Fees
Platform fee (added on top). Write Worth charges a platform fee of [7%] on each engagement. Unlike the Equipment Marketplace, this fee is added on top of the agreed engagement fee and is paid by the Producer; the Crew member receives 100% of the agreed engagement fee. The fee is applied when funds are released and is earned on a completed engagement. Cancellation and refund treatment is set out in Section C6.
C6. Cancellations and refunds
Before release. While an engagement is funded but not yet released, cancellation and refund outcomes depend on the circumstances. A Crew no-show (no milestones confirmed by the release deadline) results in a full refund to the Producer, including the platform fee. Where an engagement is cancelled by agreement or at Write Worth’s discretion, the refund may be of the engagement fee only, with the platform fee retained, or a full refund, depending on the reason.
After release. Once funds are released to the Crew member, the engagement is complete for payment purposes and cannot be self-cancelled. Any issue after that point is handled as a dispute (Section C9).
Refund destination. Refunds are credited to the user’s Write Worth wallet and may be withdrawn in accordance with the general withdrawal terms.
C7. On set: safety, conduct, and responsibility
The Producer is responsible for the working environment. On-set health and safety, working conditions, supervision, insurance, and lawful conduct are the responsibility of the Producer (or the production), not of Write Worth. Write Worth does not attend, supervise, or control any engagement and is not responsible for anything that occurs before, during, or after it.
Crew responsibilities. Crew members are responsible for performing the agreed services with reasonable skill and care, for their own conduct on set, and for holding any licences or certifications required for the role.
Meeting and working safely. Users arrange where and when to meet and work. We recommend agreeing scope, hours, safety arrangements, and any insurance directly before the engagement begins.
C8. Keeping engagements on Write Worth
You agree to use Hire Crew and its messaging honestly and lawfully, and not to post false profiles or offers, circumvent the escrow or fee system by arranging payment off-platform, harass or defraud other users, or move an engagement off-platform to avoid protections or fees.
Contact-detail filtering. To help keep engagements and payments on-platform (which is how the protections operate), our tools may block the sharing of phone numbers, email addresses, links, and social handles in hire offers and negotiation notes. Post-engagement coordination messaging may be unfiltered so that engaged parties can arrange logistics. Attempting to bypass filtering to take an engagement off-platform is a breach of these terms.
Reviews. After a completed engagement, Producers and Crew may review each other. Reviews must be honest, based on genuine engagements, and free of unlawful, defamatory, or contact-sharing content. We may remove reviews that breach these terms.
C9. Disputes and Write Worth’s limited role
Because the engagement is between users, you agree to attempt in good faith to resolve any dispute directly with the other user first.
Write Worth’s discretionary role. Where an engagement’s funds are still held, Write Worth may, at its sole discretion and acting as a neutral facilitator, take triage actions including flagging an engagement for review, releasing held funds, or refunding the Producer in whole or in part. Engagements with mixed or unclear milestones may be held for review rather than auto-decided. We are not obliged to intervene, do not act as a judge or arbitrator, and any action we take is a limited administrative step, not a determination of legal rights.
Once funds are released, Write Worth cannot reverse the payment. Disputes about work performed, conduct on set, or amounts owed beyond the escrowed fee are between the users and may require them to pursue their own legal remedies.
C10. Disclaimers and limitation of liability
Hire Crew, all crew profiles, and all engagements are provided "as is" and "as available." To the fullest extent permitted by Nigerian law, Write Worth disclaims all warranties regarding Crew, Producers, and engagements, including as to skill, qualification, conduct, safety, and performance.
To the fullest extent permitted by law, Write Worth is not liable for the acts or omissions of any user; the performance, conduct, or safety of any Crew member or Producer; any injury, loss, or damage occurring in connection with an engagement or on set; any engagement or payment that takes place off-platform; or any indirect, incidental, or consequential loss. Nothing here excludes liability that cannot lawfully be excluded under Nigerian law, including under the FCCPA and any law governing personal injury.
Final Acknowledgement
By creating an account, uploading content, placing bids, purchasing screenplays, applying for writing jobs, buying, selling, or hiring equipment, engaging or accepting crew engagements, or otherwise using Write Worth, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service, including Parts A, B, and C as applicable to your use.
Write Worth is committed to building a trusted marketplace where writers protect their creativity, producers discover exceptional stories, gear and crew move safely between productions, and meaningful creative partnerships can thrive.
