WRITE WORTH – TERMS OF SERVICE

Welcome to Write Worth ("Write Worth," "we," "our," or "us"), a digital marketplace that connects writers, producers, buyers, studios, investors, and other creative professionals.
Write Worth allows users to showcase, discover, negotiate, license, purchase, and collaborate on screenplays and writing opportunities through a secure and transparent platform.
By creating an account or using our platform, you agree to these Terms of Service ("Terms"). If you do not agree with these Terms, you must discontinue use of the platform immediately.
1. Definitions
Platform refers to the Write Worth website, applications, services, and related technologies.
Writer refers to any user who uploads, lists, or submits original creative works or bids for writing opportunities.
Buyer refers to any producer, production company, investor, studio, distributor, or individual seeking to purchase or license creative works.
Screenplay includes scripts, teleplays, stage plays, treatments, concepts, and related creative works.
Job Listing means a writing opportunity published by a producer or buyer.
Bid means an offer submitted through the Write Worth bidding system.
Content includes all text, files, images, videos, contracts, messages, screenplays, and other materials submitted to the platform.
2. Eligibility
You must be at least 18 years old, or the legal age of majority in your jurisdiction, to use Write Worth.
By creating an account, you represent that:
The information you provide is accurate.
You have legal authority to enter into binding agreements.
You will comply with these Terms and all applicable laws.
3. User Accounts
You are responsible for:
Maintaining the security of your account.
Keeping your password confidential.
Ensuring all information remains accurate.
All activities occurring under your account.
Write Worth may suspend or terminate accounts involved in fraud, abuse, impersonation, or violations of these Terms.
4. Intellectual Property
Creators retain ownership of their original work.
Uploading a screenplay does not transfer copyright ownership to Write Worth.
By uploading content, you grant Write Worth a limited, non-exclusive, worldwide, royalty-free license to:
Host your content.
Display listing information.
Generate previews.
Promote your listing within the platform.
Operate and improve platform services.
This license exists solely for operating the Write Worth platform and does not give Write Worth ownership of your creative work.
5. Screenplay Listings
Writers are solely responsible for ensuring they own or control all rights necessary to upload their work.
By listing a screenplay, you confirm that:
The work is original or you possess all necessary rights.
The listing does not violate any contract or confidentiality obligation.
All information provided is accurate.
Write Worth reserves the right to remove listings that violate applicable laws or these Terms.
6. Job Marketplace
Producers may publish writing opportunities.
Writers may submit bids for available jobs.
Submitting a bid does not guarantee employment or project selection.
Producers reserve the right to:
Accept any proposal.
Reject any proposal.
Negotiate project terms.
Close a listing without selecting a writer.
7. Screenplay Marketplace & Bidding
Write Worth operates a marketplace where buyers may place bids on listed screenplays.
Our bidding model differs from traditional auctions.
Buyers compete by submitting increasingly higher bids.
The highest bid establishes the Current Purchase Price of the screenplay.
The highest bidder does not automatically obtain exclusive rights to purchase.
Any eligible buyer may purchase the screenplay by paying the Current Purchase Price while the listing remains active.
A writer may close, pause, or remove a listing at any time before a completed transaction.
Write Worth reserves the right to modify bidding rules as the platform evolves.
8. Purchases & Licensing
Rights on Write Worth are defined by the Rights Model the writer selects when listing a screenplay. This model is shown publicly on the listing, so buyers see exactly what they will receive before purchasing, and it forms part of the binding agreement once a sale completes.
When a purchase is approved through escrow, Write Worth automatically issues a Screenplay Purchase & License Agreement to both parties. This document is generated by the platform, records the transaction, and reflects the writer's chosen Rights Model — including any reversion or expiry conditions attached to it. Depending on the selected model, this may take effect as a copyright assignment, an option, or a license.
Unless the listing's Rights Model expressly states otherwise:
Purchasing a screenplay grants only the rights described by the Rights Model shown on that listing.- Where a model transfers or assigns copyright, that transfer is effected by the auto-issued Agreement reflecting that model, and is subject to any reversion terms it contains.
- Where a model grants a license or option rather than full ownership, the writer retains copyright, and the buyer's rights are limited to the scope and term set out in the Agreement.
The auto-issued Agreement, together with Write Worth's Terms of Service and the listing terms in effect at the time of purchase, governs the relationship between the parties. Both buyers and writers are encouraged to review the Rights Model and the resulting Agreement carefully before completing a transaction. These documents record on-platform transactions and are not a substitute for independent legal advice.
9. Payments
Payments processed through Write Worth may include:
Screenplay purchases
Licensing transactions
Job payments
Platform fees
Additional premium services
Applicable service fees will be disclosed before payment.
Except where required by law or expressly stated otherwise, payments are non-refundable.
Platform Commission:
Write Worth charges a platform commission of 10% on the following transactions:
- Screenplay sales — 10% of the final sale price of any screenplay sold or licensed through the platform, deducted from the amount payable to the writer.
- Hired writing gigs — 10% of the agreed fee on any freelance or commissioned writing job arranged and paid through the platform, deducted from the amount payable to the writer.
The commission is calculated on the gross transaction amount and is deducted before funds are released to the writer from escrow. By listing a screenplay or accepting a hired gig on Write Worth, the writer agrees to this commission structure. This commission is in addition to any payment-processing or third-party charges, which will be disclosed before payment where applicable.
10. User Conduct
Users agree not to:
Upload stolen or plagiarized work.
Submit false bids.
Manipulate bidding prices.
Harass other users.
Circumvent Write Worth to avoid platform fees after initiating negotiations.
Impersonate another person or company.
Upload malicious software.
Interfere with platform security.
Use automated systems to scrape platform data without authorization.
Violations may result in account suspension or permanent removal.
11. Non-Disclosure & Confidentiality
Certain screenplays require NDA acceptance before access.
Users who access protected materials agree to:
Maintain confidentiality.
Use materials solely for evaluation.
Not reproduce, distribute, or exploit the work without authorization.
Violation of confidentiality obligations may result in account termination and possible legal action.
12. Platform Availability
While we strive for continuous availability, Write Worth does not guarantee uninterrupted access.
Maintenance, upgrades, technical issues, or circumstances beyond our control may temporarily affect platform availability.
13. Privacy
Your use of Write Worth is also governed by our Privacy Policy.
By using the platform, you consent to the collection and processing of information as described in that policy.
14. Third-Party Services
Write Worth may integrate with third-party providers, including payment processors, cloud storage providers, email services, and identity verification systems.
We are not responsible for the availability or practices of third-party services.
15. Suspension & Termination
We may suspend or permanently terminate accounts that:
Violate these Terms.
Engage in fraudulent activity.
Abuse other users.
Submit false information.
Attempt to compromise platform security.
Termination does not affect obligations that arose before account closure.
16. Disclaimer
Write Worth provides a marketplace only.
We do not guarantee:
That a screenplay will be purchased.
That a writer will receive employment.
That buyers will obtain financing.
Commercial success of any project.
Production, distribution, or publication of any creative work.
Users are solely responsible for their own business decisions.
17. Limitation of Liability
To the maximum extent permitted by law, Write Worth shall not be liable for:
Lost profits.
Lost opportunities.
Business interruption.
Indirect or consequential damages.
Loss arising from negotiations or agreements between users.
Our total liability shall not exceed the amount paid to Write Worth by the affected user during the twelve (12) months preceding the claim.
18. Indemnification
You agree to indemnify and hold harmless Write Worth, its officers, employees, affiliates, and partners from claims, losses, damages, liabilities, and expenses arising from:
Your use of the platform.
Your content.
Your transactions.
Your violation of these Terms.
Your infringement of third-party rights.
19. Changes to These Terms
We may revise these Terms from time to time.
Updated versions become effective upon publication on the Write Worth website.
Continued use of the platform constitutes acceptance of the revised Terms.
20. Governing Law
These Terms are governed by the laws of the Federal Republic of Nigeria.
Any dispute arising from these Terms or your use of Write Worth shall be subject to the exclusive jurisdiction of the competent courts in Lagos State, Nigeria.

By creating an account, uploading content, placing bids, purchasing screenplays, applying for writing jobs, or otherwise using Write Worth, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service.
